Terms of Service

These terms govern your use of zuktech.com and any services you engage Zuk Technologies to provide. Please read them carefully.

If you're entering into a specific project agreement with us, that agreement will include additional terms specific to your engagement. Where there's a conflict between these general terms and a project agreement, the project agreement governs.

Acceptance of terms

By using our website or engaging us for services, you agree to these terms. If you don't agree, please don't use the website or work with us.

About Zuk Technologies

Zuk Technologies is a software product company based in Kampala, Uganda. We build mobile apps, web platforms, and digital infrastructure for clients globally. Our services and engagement model are described on our website and in individual project proposals.

Use of our website

You may use our website for lawful purposes. You may not:

  • Use it to harm us, our clients, or third parties
  • Attempt to gain unauthorized access to any part of the site
  • Use automated tools to scrape or copy content
  • Misrepresent your identity or affiliation
  • Use the site to send unsolicited communications

We may suspend or terminate access if we believe these terms are being violated.

Project engagements

When you engage Zuk for a project, the specific terms of that engagement are defined in a project agreement, statement of work, or proposal we issue to you. That document will include:

  • The scope of work
  • The fees and payment schedule
  • The timeline and milestones
  • Acceptance criteria
  • Other terms specific to the engagement

These general terms apply alongside any project-specific agreement.

Fees and payment

Project fees are agreed in writing before work begins. We invoice according to the schedule defined in the project agreement, typically:

  • A deposit before kickoff (usually 30–50% of total)
  • Milestone payments during the engagement
  • A final payment on completion

Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend work on overdue accounts.

Intellectual property

Your existing materials. Anything you provide to us — brand assets, content, code, documentation — remains your property. We use it only to deliver the services you've engaged us for.

Work we create for you. On final payment of the project, you own all rights to the deliverables we create specifically for your project, including source code, designs, and documentation. We hand everything over to you, including access to repositories and accounts.

Our pre-existing tools and components. Some of our deliverables may include code libraries, utilities, or design system components that we developed before or outside your project. We retain ownership of these but grant you a perpetual, royalty-free license to use them as part of your project.

Our portfolio rights. We retain the right to display your project in our portfolio and case studies, including the name, a description, and screenshots, unless you specifically request otherwise in writing.

Confidentiality

Each party agrees to keep confidential any non-public information shared during the engagement. This obligation continues for two years after the engagement ends. It doesn't apply to information that's publicly known, independently developed, or required to be disclosed by law.

Warranties

We warrant that our services will be performed with reasonable skill and care, consistent with industry standards. We also warrant that the work we deliver is original to us or properly licensed.

We don't warrant that the deliverables will be free of all bugs, meet every unstated expectation, or work perfectly with every third-party system. We provide a 30-day post-launch warranty during which we'll fix defects in the work we delivered at no additional charge.

Except as stated above, our services are provided "as is" without warranties of any kind.

Limitation of liability

To the maximum extent permitted by law, our total liability for any claim related to our services is limited to the amount you paid us under the relevant project agreement.

We're not liable for any indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we've been advised of the possibility of such damages.

Indemnification

You agree to indemnify Zuk Technologies against any claim arising from:

  • Your misuse of the deliverables
  • Materials you provided to us
  • Your violation of these terms
  • Your violation of applicable law

Term and termination

Either party may terminate a project engagement with 14 days written notice. If you terminate early, you pay for all work completed up to the termination date plus any non-refundable expenses we've incurred.

We may terminate immediately if:

  • You materially breach the project agreement
  • You fail to pay an invoice within 30 days of the due date
  • You become insolvent or file for bankruptcy

Dispute resolution

If a dispute arises, both parties agree to attempt to resolve it through good-faith negotiation first. If we can't resolve it within 30 days, the dispute will be submitted to mediation in Kampala, Uganda. If mediation doesn't resolve it, the dispute will be settled by arbitration under the laws of Uganda.

Governing law

These terms are governed by the laws of Uganda. Any legal action must be brought in the courts of Kampala.

General provisions

Entire agreement. These terms and any project agreement constitute the entire agreement between us.

Severability. If any provision is found unenforceable, the rest of the terms remain in effect.

No waiver. Our failure to enforce any provision doesn't waive our right to enforce it later.

Assignment. You may not assign your rights or obligations without our written consent.

Changes to terms. We may update these terms from time to time. We'll post the updated terms on our website and update the "Last updated" date. Continued use of our services after a change constitutes acceptance.
